South Africa’s SPAR Chairman and Deputy Chair Resign Amid Governance Reset

South African retail giant SPAR Group has announced the immediate resignation of its chairman, Mike Bosman, and deputy chair, Shirley Zinn, marking another significant leadership change as the company continues efforts to recover from several years of operational and governance challenges.

The resignations take effect immediately, with board member Lwazi Koyana appointed as interim chairman while the company begins the search for a permanent successor.

The announcement comes as SPAR works to rebuild investor confidence following a turbulent period marked by executive turnover, rising debt levels, governance concerns, and operational setbacks across parts of its business.

Leadership Changes Take Immediate Effect

In a statement released on Monday, SPAR confirmed that Bosman had resigned as both independent non-executive director and chairman, while Zinn stepped down as independent non-executive director and deputy chair.

The retailer stressed that both departing directors continue to enjoy the full support of the board and that their decisions were made after concluding the resignations were in the company’s best interests.

SPAR did not disclose additional details regarding the circumstances behind their departures beyond referring to recent board and company challenges.

Investors responded negatively to the news.

SPAR shares fell by approximately 5.7% during morning trading after the announcement, reflecting renewed uncertainty surrounding the retailer’s leadership transition.

The decline adds to the pressure facing the supermarket group as it seeks to improve financial performance and restore long-term shareholder confidence.

Bosman’s Role in SPAR’s Recovery

Mike Bosman became chairman in December 2022, during one of the most difficult periods in SPAR’s recent history.

Following the retirement of the group’s former chief executive in early 2023, Bosman temporarily assumed the additional responsibility of executive chairman, providing leadership continuity until a new chief executive took office later that year.

During his tenure, the company credits him with strengthening governance structures, improving risk management processes, simplifying SPAR’s business portfolio, and helping restore operational stability across the group.

SPAR has spent the past several years implementing reforms aimed at stabilising its operations.

The retailer has been addressing governance shortcomings, restructuring parts of its business, reducing debt, and improving operational efficiency following a challenging period that affected investor confidence and financial performance.
